Excerpts: New Microsoft memo on Yahoo bid

Microsoft this afternoon went public with an internal e-mail to employees about its proposed Yahoo acquisition. The full text is available here.

  • Kevin Johnson, president of the company's Platforms and Services Division, uses the memo to address topics including the cultures of the two companies, the possibility of layoffs, and the future of the MSN, Windows Live and Yahoo brands, should the deal go through. Many of the relevant questions go unanswered, with Johnson saying that they would be resolved during the integration of the two companies. Excerpts:

    On the brands: Both Microsoft and Yahoo! have great brands and technologies. Yahoo! has a very strong consumer brand and we are committed to build on the Yahoo! brand as a major part of the combined products and services we deliver to customers. The Yahoo! brand is one of the reasons the combination of the two companies would create so much value. It is premature to say which aspects of the brands and technologies we would use in our combined offerings.

    On the cultural differences: Both companies share a passion for great engineering, creativity, and development of services and technologies that truly can change the world. Respect for both the creative and analytical aspects of advertising is core to both companies, along with recognition that advertising is an industry that represents opportunity and growth. We would have an opportunity to bring together the best of both companies – Microsoft's culture of innovation, and long-term commitment to tough R&D problems, with Yahoo!'s blend of Web-centric DNA and innovative engineering, 21st century media expertise, and advertising talent. Some aspects of the two cultures will naturally merge quickly and some will remain unique in the near-term and merge more slowly over time. At Microsoft today, we have a corporate culture, but individual teams develop, nurture, and retain a culture of their own as well. The culture of the combined entity will be shaped by individuals and teams from both Yahoo! and Microsoft.

    On layoffs: People are the single most important asset in this combination. We want the very best talent at the combined company, and we will demonstrate this to Yahoo! and Microsoft employees at each step of the deal. There's no question we will dedicate significant rewards and compensation to Yahoo! and Microsoft employees. ... While some overlap is expected in any combination of this size, we should remember that Microsoft is a growth company that has hired over 20,000 people since 2005, and we would look to place talented employees throughout the company as a whole. We have no shortage of business and technical opportunities, and we need great people to focus on them.

    It never fails to amaze me the way these statements can use so many words to convey exactly zero meaningful information.

    Now, now, those droning missives are really tough for the executives' administrative assistants to write. All that copying and pasting from memos that have been sent out in the past and then changing a couple of the words to make them appear current takes a lot of time.

    Let's do some interpreting, shall we?

    Yahoo! has a very strong consumer brand

    Our own web-based consumer products are a dismal failure so we're going to try buying some instead.

    It is premature to say which aspects of the brands and technologies we would use in our combined offerings.

    We have no clue how to integrate the two companies.

    Respect for both the creative and analytical aspects of advertising is core to both companies, along with recognition that advertising is an industry that represents opportunity and growth.

    We totally screwed up and missed out on the massive piles of cash to be made selling ad space, but we still got huge bonuses and piles of stock awards anyway.

    Some aspects of the two cultures will naturally merge quickly and some will remain unique in the near-term and merge more slowly over time.

    Again, we have no clue how to integrate the two companies.

    People are the single most important asset in this combination.

    You would be wise to start working on your resume.

    There's no question we will dedicate significant rewards and compensation to Yahoo! and Microsoft employees.

    We will continue to reward employees who can't design, build, or test software worth a damn but are highly skilled at relentlessly sucking up to their manager.

    While some overlap is expected in any combination of this size…

    Did we mention that you should probably work on your resume?

    We have no shortage of business and technical opportunities, and we need great people to focus on them.

    We need to hire more people because most of the smart ones have left.

    PictureI think taking a larger share of Facebook would be a good move. Facebook is preparing itself to be the platform of the web and this is exactly what MS needs. Also incorporating facebook services with outlook and hotmail could be extremely useful. Unfortunately, a complete buyout would put MS's name behind the service which could turn users away (as fickle as young people are) so, like the previous 250 million investment, it would need to be quiet."
